Biography

Jogan has over 3 years’ experience in corporate matters such as mergers and acquisitions, corporate due diligences, drafting and negotiating corporate agreements including joint venture agreements, shareholder’s agreements, management agreements. Jogan has also been involved in structuring and restructuring matters including preparing nominee documentation for clients.

Over the years, Jogan has established companies in Dubai for clients as well as undertaken corporate transactions including share transfers for corporate entities, change of managers, increase in capital etc. Additionally, she provides assistance and advice on legal and corporate compliances under UAE law, such as ultimate beneficiary regime, ownership and FDI requirements in the UAE.

Recent Experience

Kalyan Jewellers FZE – carrying out a due diligence and issuing a transaction opinion with respect to the UAE subsidiaries of the Issuer, Kalyan Jewellers India Limited, pursuant to floating an IPO in India for raising approximately USD 158 million.
Chef’s Warehouse Inc. – assisted in the acquisition of Chef Middle East LLC, preparing the corporate and regulatory documents and filing the same with the authorities pursuant to the acquisition.
Providing advice for restructuring of the UAE entities of a renowned group.
Nestlé Middle East FZE – providing advice relating to ultimate beneficial ownership (UBO) laws in UAE and preparing the UBO registers for all the UAE entities.
Ras Al Khaimah Cement Investment Company Psc – conducting a due diligence and drafting asset transfer agreement.
Dubai Investment Industries LLC – providing structuring advice with respect to projects in the education sector and drafting cooperation agreements and management agreements for such projects.
Establishing several limited liability companies in the mainland and free zones of Dubai.
Establishing entities in the DIFC and undertaking corporate secretarial work for such entities.
Providing structuring advice and setting up entities for MNCs for establishing a presence in Dubai.
