Biography

Nouv is a bilingual, dual qualified attorney in Egypt and the United Kingdom with six (6) years of extensive experience in corporate and commercial matters.

As a member of both the Egyptian Bar Association and the Law Society of England and Wales, Nouv has a strong application of both legal systems in areas such as without limitation: agency, corporate, dispute resolution, distribution, intellectual property, labor, maritime, renewable energy and technology.

Prior to joining ATCO, Nouv has worked with two (2) of the leading law firms in Egypt and has further gained experience advising her clients in different practice areas.

Nouv retained advising multinational corporations on their day-to-day aspects as well as legal and commercial matters, her profile includes Chevron, Microsoft, Lagardere Group as well as Proctor and Gamble

Further, Nouv has vast transactional experience as she advised clients on the merits of their M&A deals including negotiating, drafting, reviewing and amending transaction documents, disclosures, and ancillary agreements.

Recent Experience

  • Advised US Ex-Im Bank, SACE, UKEF and OPIC in conjunction with Mayor Brown (London) on entering into gas supply agreements with City Gas (State Owned Company) for the purpose of advising on the applicability of the Egyptian Arbitration Act to an arbitration having the seat thereof in London.
  • Advised Banque du Caire in connection with three (3) years partnership entered into with Arsenal F.C. as well as reviewing, negotiating, amending, closing and executing the partnership agreement concluded between Banque Du Caire and Arsenal F.C.
  • Advised Centers for Disease Control and Prevention on the closure of the representative office in Egypt as well as the incorporation of a limited liability company in Egypt.
  • Acted as local counsel DEG – German Investment Corporation (Deutsche Investitions- und Entwicklungsgesellschaft) for in connection with reviewing and amending a loan agreement entered into between the bank and an Egyptian entity and advised on the commercial, legal and procedural aspects pertaining to the registration of said loan and the perfection of the securities in relation thereto in light of Egyptian law. Drafted the negative pledge agreement as well as reviewing, amending and registering the relevant transaction security documents.
  • Advised Bayerische Landesbank with respect to the financing obtained from AAIB to support Infinity 50 for Renewable Energy under the Egyptian “Feed in Tariff Programme” and the applicability of the guarantees provided by the Ministry of Finance with respect to the financial obligations of the Egyptian Electricity Holding Company.
  • Advised BeIN Sports against the claim filed by the Egyptian Competition Authority against the company for an alleged breach of the anti-competition laws and regulations.
  • Advised the International Financial Corporation (IFC) in the settlement against Misr Compressor Manufacturing Company (MCMC), in a claim that was initiated 2005. Drafted, negotiated, reviewed and amended the settlement agreement to be presented, reviewed and accepted by the court in a settlement of USD 19 million.
  • Advised Yalla Fel Sekka (YFS), a specialized on-demand delivery, that provides tech solutions for the delivery of services, having its holding companies located in the United Kingdom, on the sale of a 50% stake of . Assisted in preparing the red flag legal due diligence on YFS as well as reviewing the privacy policy and share option plan of the YFS as part of the legal due diligence process in addition to amending said privacy policy and share option plan as part of the conditions precedent to closing the transaction. Assisted in reviewing, drafting and amending the transaction documents including without limitation the quota purchase agreement and shareholders agreement.
