Biography

Yanal is a Senior Associate in the Corporate Commercial practice based in Dubai and a core member of Al Tamimi & Company’s Energy and Resources Practice Group.

He is a multilingual international lawyer who principally advises oil and gas companies on corporate and advisory matters, including mergers and acquisitions, joint ventures, projects, licensing and regulation, and commercial contracts. He has been recognised in the inaugural edition of “The Best Lawyers in the UK: Ones to Watch (2023)” review for Corporate Law.

He has cross-border experience in major oil and gas corporate transactions and projects across Europe, the Middle East, Russia, and Southeast Asia, as well as expertise in drafting and negotiating petroleum contracts across the entire supply chain (upstream, midstream, and downstream).

Yanal is an English-qualified solicitor with over ten years of experience in London, having worked for a specialist boutique firm acting for tier-1 oil and gas companies and an international firm’s corporate practice in the City of London. He has been practising law across the MENA since joining Al Tamimi Company in 2022.

Oil and Gas Corporate, M&A, and Joint Ventures 

Highlights of Yanal’s corporate/M&A experience include advising:

  • an Exploration and Production Company on the sale of shares in the contractor party under an Iraqi development and production sharing contract, negotiations with the Iraqi Ministry of Oil with respect to the same, and appointment of a third party operator
  • a Fujairah Midstream Operator on its acquisition of a minority stake in the issued share capital of a bulk liquid storage terminal in the Port of Fujairah
  • a Chinese operator in Central Iraq on the oil and gas regulatory framework, encompassing upstream, midstream, and downstream sectors, and on elements of its technical service contract
  • Mercantile & Maritime on its acquisition of 100% of the issued share capital of GTI Fujairah operating a bulk oil storage terminal in the Port of Fujairah
  • a Fujairah-midstream Oil Company on the negotiation and drafting of a demolition, dismantling, and asset purchase agreement for an oil refinery in the UAE
  • an international shipping company on its potential acquisition of oil storage assets in Fujairah. This included significant counsel on a common user pipe concession, negotiating the terms for access and use of pipe agreements, and providing guidance on port-related regulatory aspects under the Fujairah Port Regulations
  • an  Oil and Gas Major on its acquisition of 51% of the issued share capital of a European bunkering group with assets in Malta, Belgium, and the Netherlands. In addition to the corporate acquisition aspects, the advisory scope covered the acquisition and compliance of port-related licenses*
  • Maha Energy on selling to Mafraq Energy LLC 35% of its participating interest in Block 70, an onshore oilfield in central Oman, pursuant to a farm-out agreement and negotiating the associated joint operating agreement
